Terms of Service

The rules for using IPSARY, its application, subscriptions, and AI features.

Document language

1. Agreement and Acceptance

These Terms of Service ("Terms") govern access to and use of IPSARY.com and its associated applications, digital services, subscriptions, and artificial intelligence features (collectively, the "Service").

By creating an account, accepting the Terms, purchasing a subscription, or otherwise using the Service in a manner constituting valid agreement, you enter into a binding agreement with the identified IPSARY operator.

If you use the Service on behalf of an organization, you represent that you have the authority required to act for that organization.

Nothing in these Terms excludes rights that cannot lawfully be waived.

2. Service Description

IPSARY provides digital tools intended to assist with personal organization, planning, productivity, project management, routines, tasks, goals, learning, and related activities.

Certain features may use artificial intelligence to assist users in structuring or interpreting information.

Features, limitations, available integrations, and functionality may vary according to subscription plans, technical requirements, and ongoing product development.

IPSARY does not guarantee that using the Service will produce any particular personal, professional, financial, health, or business outcome.

3. Eligibility and Accounts

The Service is intended for users aged 18 or older who possess legal capacity to enter into the applicable agreement.

Users must provide accurate registration information and keep their credentials secure.

Accounts are personal unless the purchased plan expressly permits organizational or multiuser access.

Users are responsible for activities conducted through their accounts to the extent permitted by applicable law, but are not automatically responsible for unauthorized activity caused by IPSARY's own breach of applicable legal duties.

Suspected unauthorized access should be reported promptly.

4. Limited License

Subject to compliance with these Terms, IPSARY grants the user a limited, nonexclusive, nontransferable, revocable license to access and use the Service during the relevant authorization period.

No intellectual property rights in the IPSARY platform, software, branding, design, content, source code, proprietary workflows, or underlying methodology are transferred to the user.

The license does not authorize resale, unauthorized commercial exploitation, sublicensing, reverse engineering where lawfully restrictable, or reproduction of protected portions of the Service.

5. Intellectual Property

IPSARY, its distinctive branding, original designs, proprietary content, software elements, and protected materials remain the property of their respective rights holders.

The IPSARY Method and related original explanatory content are protected to the extent applicable intellectual property laws recognize such protection.

These Terms do not claim exclusive ownership over general ideas, generic concepts, or methods that are not legally protectable.

Unauthorized copying or distribution of protected IPSARY materials may result in lawful enforcement measures.

6. User Content and Ownership

Users retain their applicable rights in original content they create or upload into their accounts.

Users grant IPSARY and its authorized processors a limited, nonexclusive license to host, transmit, process, display to the authorized user, back up where applicable, and otherwise technically handle such content solely as reasonably necessary to provide the Service, comply with law, protect security, and fulfill authorized instructions.

This license does not transfer ownership of private user content to IPSARY.

Users must ensure that their content is lawful and that they possess the necessary rights to upload, process, or share it.

IPSARY may act against unlawful or abusive material when legally required or reasonably necessary to protect the Service.

7. Privacy and Confidentiality

Private user workspaces are intended to be protected by account-based access controls.

IPSARY personnel do not routinely inspect private user-generated records in the ordinary course of providing the Service.

Authorized technical processing may nevertheless occur through Base44, its subprocessors, and other authorized integrations, as described in the Privacy Policy.

IPSARY does not promise absolute technical impossibility of access or absolute confidentiality against all security incidents.

The Privacy Policy is incorporated by reference only to the extent compatible with applicable privacy law and contractual requirements.

8. Base44, Wix, and Independent Providers

IPSARY is developed and operated using Base44 technology associated with the Wix ecosystem.

The application depends on external infrastructure for hosting, databases, authentication, application execution, storage, and potentially payment processing, analytics, and AI services.

IPSARY does not own or exclusively control every component of this third-party infrastructure.

Third-party outages, service changes, security events, network interruptions, or processing delays may affect the availability of the Service.

IPSARY may replace providers or modify its infrastructure where commercially and legally appropriate.

Nothing in this section removes IPSARY's mandatory responsibilities for selecting, configuring, or supervising service providers.

9. Plans and Subscriptions

IPSARY may offer free plans, paid subscriptions, premium functionality, introductory offers, AI credits, and special membership arrangements.

The applicable price, billing period, included features, limits, taxes, trial conditions, renewal rules, and cancellation options will be those clearly disclosed to the user before purchase.

Where a subscription automatically renews, this must be clearly disclosed before purchase together with the recurring charge and cancellation procedure.

Users authorize recurring charges only when they have validly accepted the disclosed recurring payment arrangement.

Any previously purchased contractual entitlement, including applicable Founding Member benefits, will be respected according to the terms under which it was acquired and mandatory law.

IPSARY may modify future prices or plans with notice where required, without unlawfully altering benefits already paid for.

10. Billing, Cancellation, and Refunds

Payments may be processed by authorized third-party payment providers.

Payment card information may be handled directly by those providers rather than stored within IPSARY's own application database, subject to the actual integration.

Subscription cancellation will follow the procedure shown in the user's account or communicated through an accessible support channel.

Unless otherwise disclosed or required by law, a cancellation ordinarily prevents future renewals and does not automatically reverse charges for a billing period already validly started.

Users retain all applicable statutory withdrawal, cancellation, refund, and digital-service conformity rights.

For consumers in the European Union, the statutory distance-contract withdrawal framework applies where relevant, including the generally applicable 14-day withdrawal period and any legally valid exceptions or conditions relating to immediate digital performance.

United Kingdom consumers retain applicable statutory cancellation, digital content, and consumer protection rights.

Canadian and United States consumers retain mandatory rights applicable in their province or state.

No statement that all digital purchases are categorically nonrefundable is intended or authorized.

11. Artificial Intelligence and Credits

AI features may consume credits according to the applicable usage schedule clearly presented in the Service.

Credits are contractual units for accessing designated functionalities. They are not legal tender, deposits, investments, securities, or redeemable cash balances.

Unless expressly authorized by IPSARY, credits cannot be resold or transferred between accounts.

Any expiration date, usage limitation, rollover policy, or refund restriction applies only if validly disclosed and consistent with mandatory law and the purchased offer.

The cost of an AI action must be communicated in a sufficiently transparent manner.

IPSARY may implement reasonable technical and anti-abuse limits to preserve service integrity.

AI-generated content may contain errors, fabricated references, outdated information, or inaccurate conclusions.

Users are responsible for independently reviewing AI output before relying on it.

12. No Professional Advice

IPSARY is a productivity and organizational tool.

Its content and AI features do not constitute individualized legal, medical, psychological, accounting, tax, financial, or investment advice.

Health-related or wellbeing-related tracking features are informational and organizational and are not medical monitoring, diagnosis, or treatment services.

Users should seek qualified professional assistance for decisions requiring regulated advice.

Nothing in this section excludes any non-waivable duty applicable to IPSARY.

13. Prohibited Use

Users may not use the Service to:

  • Violate applicable laws or third-party rights.
  • Gain unauthorized access to accounts or systems.
  • Introduce malicious code, conduct abusive scraping, or interfere with platform security.
  • Upload or process information without necessary legal authorization.
  • Circumvent legitimate payment, credit, subscription, or access restrictions.
  • Resell or impersonate IPSARY or misleadingly suggest official endorsement.
  • Use AI functions to facilitate unlawful activities or violate applicable provider policies.

IPSARY may take proportionate measures to investigate, restrict, or prevent prohibited conduct, subject to applicable law.

14. Availability, Changes, and Maintenance

The Service is provided using commercially reasonable efforts and may undergo maintenance, updates, temporary interruptions, or changes.

Unless an express service-level commitment is separately agreed, IPSARY does not guarantee uninterrupted or error-free operation.

Material reductions to purchased functionality will be handled in accordance with applicable contract and consumer laws.

Users are encouraged to keep appropriate independent copies or exports of important content where supported.

IPSARY does not guarantee recovery of deleted or corrupted information beyond express contractual commitments and mandatory legal obligations.

15. Suspension and Termination

IPSARY may suspend or terminate access for material contractual violations, security threats, fraud, unlawful conduct, or legal requirements.

Where appropriate and practicable, IPSARY will provide advance notice and an opportunity to remedy the violation.

Immediate action may be taken where necessary to address serious risks.

Users may discontinue use or request account closure through available channels.

Termination does not eliminate accrued lawful obligations, outstanding legitimate charges, or mandatory consumer and privacy rights.

Data retention and deletion are governed by the Privacy Policy and applicable law.

16. Disclaimers

To the maximum extent permitted by applicable law, IPSARY makes no guarantee of particular productivity improvement, income generation, business success, uninterrupted third-party operations, or the factual accuracy of AI-generated material.

Any statutory warranties, conformity requirements, and consumer guarantees remain unaffected.

No disclaimer shall exclude liability that cannot legally be excluded.

17. Limitation of Liability

To the maximum extent permitted by law, IPSARY shall not be liable for indirect, incidental, special, or consequential losses, lost profits, or business interruption arising from circumstances for which such exclusions are legally enforceable.

For claims lawfully subject to contractual liability caps, IPSARY's aggregate liability shall not exceed the greater of the fees actually paid by the claimant for the Service during the twelve months preceding the event giving rise to the claim or USD 100 (or the equivalent in the transaction currency).

This limitation does not apply where prohibited by law, including applicable consumer protections, fraud, wilful misconduct, liability for death or personal injury where non-excludable, or mandatory data protection obligations.

The limitation does not deprive consumers of statutory remedies for nonconforming digital services.

18. Business Customer Indemnification

To the extent permitted by applicable law, business users agree to indemnify IPSARY against reasonable third-party claims, damages, and costs arising directly from their unlawful uploaded content, intentional misuse of the Service, or material infringement of third-party rights.

This provision does not apply to consumers where such an obligation would be prohibited or unfair, and does not cover losses caused by IPSARY's own unlawful conduct or breach.

19. Force Majeure

Neither party shall be responsible for delays caused by extraordinary events beyond its reasonable control to the extent recognized by applicable law.

Examples may include natural disasters, major infrastructure failures, government restrictions, and widespread network disruptions.

This provision does not eliminate statutory refund, restoration, or other mandatory obligations.

20. Governing Law and Disputes

These Terms are governed by the laws of Brazil, except where mandatory consumer protection, privacy, jurisdictional, or other non-waivable provisions require a different result.

Before initiating formal proceedings, users are encouraged, but not required where law provides otherwise, to contact IPSARY to seek a practical resolution.

Disputes will be brought before courts having jurisdiction under applicable law.

Nothing in these Terms prevents EU, UK, Canadian, US, or other protected consumers from exercising mandatory local rights or accessing legally competent courts and regulators.

21. Amendments and Severability

IPSARY may update these Terms for legitimate operational, regulatory, technical, or commercial reasons.

Material amendments affecting existing contractual rights will be notified as required by law.

Changes will not retroactively eliminate validly accrued consumer or contractual rights.

If a provision is unenforceable, it will be interpreted or severed to the extent legally necessary without automatically invalidating the remaining Terms.
